Without prejudice to GSOLEX’s other rights under these terms and conditions, if you breach these terms and conditions in any way, GSOLEX may take such action as GSOLEX deems appropriate to deal with the breach, including suspending your access to the website, prohibiting you from accessing the website, blocking computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.

Law and Jurisdiction
These terms and conditions will be governed by and construed in accordance with ALL applicable, and any disputes relating to these terms and conditions will be subject to the non-exclusive and/or executive jurisdiction of the courts of Pennsylvania.

General Service Terms and Conditions
- Scope of Applicationa. Unless otherwise specifically agreed in writing, these Terms and Conditions shall apply to all agreements entered into by GSOLEX and the User/Client concerning linguistic services, including any other services and/or additional services provided.
2. Offer and Acceptance
a. When requesting GSOLEX to produce an estimate or quote, the User/Client shall supply a finalized version of the content and specify the intended purpose and the target group, for which it is intended.
b. When requesting the GSOLEX to prepare an offer, the User/Client shall also provide all the following information, as may be of importance to the completion of the translation work, including (a) desired delivery format (emailed or mailed) and (b) any information relating to any special security requirements in terms of storage of source text and translation.
c. Where the User/Client requires GSOLEX to use software programs other than those normally used in the translation business, the User/Client shall make these programs available to GSOLEX for the duration of the work.
d. GSOLEX’s offer will be valid for a period of 30 days from the date it is presented. After this date, if not accepted, the offer will no longer be binding. GSOLEX will consider an offer as accepted when written acceptance is received from the User/Client.
e. The transaction will be governed by the agreement entered into by the parties and by the GSOLEX’s General Terms and Conditions. Any subsequent amendments, including updates and additional agreements, will be subject to the GSOLEX’s express written acceptance.
a. Unless otherwise agreed, GSOLEX’s fees/charges will be based on the translated text and any applicable additional efforts requested by the User/Client. Wherever possible, GSOLEX will provide an estimated count of the number of words, lines etc. using its proprietary software any other available programs. Work requested outside of normal working hours (9 a.m. to 5 p.m.) may be subject to additional fees, which will be notified to the User/Client in advance.
a. Unless otherwise agreed, GSOLEX’s fees/charges will be payable in advance for new Users/Clients and/or within the agreed terms of the project.
b. Failure by the User/Client to make punctual payment will entitle GSOLEX, upon written request, to charge five (5) percent interest per month or a fraction thereof from the due date and until payment is made. For projects requiring payment upfront, work will ONLY begin once payment has been received.
If you were issued or a due a refund or if you canceled your order:
– You will be given a cancellation and refund confirmation either over the phone or via email with the payment and refund details for your order. The refund may take several business days to post.
a. Our linguistic services may only be used exclusively for the purpose(s) and to the extent agreed, unless the parties have specifically agreed otherwise. Any other use will require a separate agreement.
b. If the translation is published in a book, periodical, brochure or manual, GSOLEX’s name will appear as a reference, unless otherwise agreed.
c. The User/Client will not be entitled to make amendments in or additions to the translation without GSOLEX’s prior acceptance. This provision will also apply to headlines and captions for photographs or illustrations.
a. GSOLEX will maintain confidentiality regarding all matters that may come to become part of our knowledge in the course of the assignment unless such information is generally available to the public.
- GSOLEX will use Confidential Information solely for the purpose of providing the Services to you “Permitted Purpose”. GSOLEX will not, without your prior consent, disclose to any third party your Confidential Information, other than furnishing such Confidential Information to our directors, officers, employees, agents, consultants, contractors, representatives or affiliated entities (collectively, “Associated Persons”) who need to have access to such Confidential Information in connection with the Permitted Purpose.c. The duty of confidentiality will not apply where GSOLEX is required by law to disclose confidential information.
8. Your Privacy
- User/Client Dutiesa. The User/Client will, to the extent possible, provide GSOLEX with all additional material, as may be necessary for performing the assignment.
b. In order to facilitate the translation, the User/Client will provide GSOLEX with the name(s) of one or more persons whom GSOLEX may contact for inquiries regarding the wording and/or contents of the text.
a. A cancellation fee of at least 25 percent of the agreed price shall become payable if the User/Client cancels a translation already approved before GSOLEX has started the assignment. If GSOLEX has begun working on the translation, GSOLEX will also be paid, as a minimum, the fee for the translation work performed prior to cancellation or for hours spent on preliminary work. Any translation work performed up to the point of cancellation will be delivered to the User/Client “as is” without any liability on the part of GSOLEX.
11. Translator’s Liability for Errors and Omissions
a. Any errors or omissions discovered in the translation must be reported to GSOLEX immediately upon discovery and not later than 30 days from delivery of the translation to the User/Client.
b. GSOLEX’s liability for errors and omissions will terminate definitively 30 days from delivery of the translation to the User/Client.
c. Liability shall under no circumstances exceed the maximum amount of GSOLEX’s professional liability insurance coverage or include claims for damages that are not covered by such liability insurance.
12. Force Majeure
a. If GSOLEX is unable to perform their duties due to circumstances beyond GSOLEX’s control, such as industrial disputes, operational problems, fire, water damage or other similar force majeure events, GSOLEX’s duties will be suspended for the duration of said circumstances.
b. GSOLEX will inform the User/Client without delay of any of these types of circumstances and provide an estimate of their duration.
c. GSOLEX will not be liable for any damages resulting from delay.
13. Venue and Governing Law
a. Any dispute arising directly or indirectly from the agreement entered into by the parties will come under the jurisdiction of the Pennsylvania court system.
b. These Terms and Conditions and the legal relations between GSOLEX and the User/Client will be governed by U.S. law.
14. Partial Invalidity
a. Should one or more provisions of these Terms and Conditions or of any other agreement entered into by GSOLEX and the User/Client become invalid; the remaining provisions will remain in full force and effect. The parties will be obliged to substitute any invalid provision with a legally valid provision, which most closely approximates the financial intents of the invalid provision.
